Article 1 – Definitions
In these terms and conditions, the following definitions apply:
Right of Withdrawal Period: The period within which the consumer may exercise their right of withdrawal.
Consumer: The natural person not acting in the course of a profession or business and who enters into a distance agreement with the trader.
Day: Calendar day.
Duration Agreement: A distance agreement concerning a series of products and/or services, where delivery and/or purchase obligations are spread over time.
Durable Data Medium: Any means that allows the consumer or trader to store information addressed to them personally in a way that permits future consultation and unaltered reproduction of the stored information.
Right of Withdrawal: The consumer’s ability to cancel the distance agreement within the withdrawal period.
Trader: The natural or legal person who offers products and/or services at a distance to consumers.
Distance Agreement: An agreement concluded within the framework of a system organized by the trader for distance sales of products and/or services, using exclusively one or more distance communication technologies up to and including the conclusion of the agreement.
Distance Communication Technology: Means that can be used to conclude an agreement without the consumer and trader being physically present in the same place at the same time.
General Terms: These general terms and conditions of the trader.

Article 3 – Applicability

These general terms and conditions apply to every offer from the trader and to every distance agreement and order concluded between the trader and the consumer.

Prior to the conclusion of the distance agreement, the text of these general terms and conditions will be made available to the consumer. If this is not reasonably possible, the trader will indicate before the conclusion of the distance agreement that the general terms can be reviewed at the trader’s premises and will be sent free of charge as soon as possible upon the consumer’s request.

If the distance agreement is concluded electronically, and notwithstanding the previous paragraph, the text of these general terms may be made available to the consumer electronically in a manner that allows the consumer to store them easily on a durable data medium. If this is not reasonably possible, it will be indicated before the conclusion of the agreement where the general terms can be reviewed electronically and that they will be sent free of charge electronically or otherwise upon the consumer’s request.

If specific product or service terms apply in addition to these general terms, the second and third paragraphs apply analogously. In case of conflicts between general terms, the consumer may always rely on the provision most favorable to them.

If any provision of these general terms is wholly or partially invalid or annulled, the remaining provisions of the agreement and these terms remain in force, and the invalid provision will be replaced by mutual agreement with a provision that aligns as closely as possible with the original intent.

Situations not governed by these general terms must be assessed "in the spirit" of these terms.

Any uncertainties regarding the interpretation or content of one or more provisions of our terms must be interpreted "in the spirit" of these general terms.
Article 4 – The Offer

If an offer has a limited validity period or is subject to conditions, this will be explicitly stated in the offer.

The offer is non-binding. The trader reserves the right to modify or adapt the offer.

The offer includes a complete and accurate description of the products and/or services offered. The description is sufficiently detailed to enable the consumer to assess the offer properly. Images used by the trader are truthful representations of the products and/or services. Obvious errors or inaccuracies in the offer do not bind the trader.

All images and specifications in the offer are indicative and do not give rise to compensation or termination of the agreement.

Product images are truthful representations of the products offered. The trader cannot guarantee that displayed colors exactly match the actual product colors.

Every offer contains clear information about the rights and obligations linked to accepting the offer, including:

Price (excluding customs clearance and import VAT, which are the customer’s responsibility and risk).

Shipping costs.
-
The method of concluding the agreement and required actions.
-
Whether the right of withdrawal applies.
-
Payment, delivery, and execution methods.
-
The period for accepting the offer or the period during which the trader guarantees the price.
-
Communication costs if distance communication technology costs are calculated other than the basic rate.
-
How the agreement is archived and how the consumer may access it.
-
How the consumer can verify and correct their data before concluding the agreement.
-
Languages available for concluding the agreement (other than Dutch).
-
Codes of conduct the trader adheres to and how the consumer can access them electronically.
-
Minimum duration of a distance agreement for long-term contracts.

Optional: Available sizes, colors, and material types.

Article 5 – The Agreement

The agreement is concluded at the time of the consumer’s acceptance of the offer and fulfillment of the specified conditions.

If the consumer accepts the offer electronically, the trader will immediately confirm receipt of the acceptance electronically. Until this confirmation is received, the consumer may cancel the agreement.

For electronic agreements, the trader will implement appropriate technical and organizational measures to secure data transmission and ensure a safe web environment. For electronic payments, adequate security measures will be taken.

The trader may, within legal limits, verify the consumer’s ability to meet payment obligations and other factors relevant to responsibly concluding the agreement. If the trader has reasonable grounds to refuse the agreement, they may decline the order or attach specific conditions.

The trader will provide the following information to the consumer in writing or via a durable data medium:

The trader’s address for complaints.

Conditions and method for exercising the right of withdrawal, or a clear statement excluding the right.

Warranty and after-sales service information.
-
Information under Article 4(3), unless already provided.
-
Termination requirements for agreements lasting over one year or indefinite agreements.
-

For duration agreements, the above applies only to the first delivery.

All agreements are subject to product availability.
Article 6 – Right of Withdrawal

For product purchases, the consumer may cancel the agreement without reason within 14 days. This period begins the day after the consumer or their designated representative receives the product.

During the withdrawal period, the consumer must handle the product and packaging with care. Unpacking or use must be limited to assessing whether to keep the product. If withdrawing, the consumer must return the product with all accessories, in original condition and packaging, following the trader’s instructions.

To exercise the right of withdrawal, the consumer must notify the trader within 14 days of receipt. Notification must be in writing (e.g., email). The product must be returned within 14 days of notification, with proof of return (e.g., shipment tracking).

If the consumer fails to notify or return the product within the specified periods, the purchase is final.
Article 7 – Costs for Withdrawal

Return shipping costs are borne by the consumer.

The trader will refund payments as soon as possible, no later than 14 days after cancellation, provided the product is returned or proof of return is provided.
Article 8 – Exclusion of Right of Withdrawal

The trader may exclude the right of withdrawal for products/services listed in paragraphs 2 and 3, provided this is clearly stated in the offer before the agreement.

Exclusion applies to products:
-
Custom-made or personalized.
-
Perishable or rapidly aging.
-
Sealed hygiene products, audio/video recordings, or software where the seal is broken.
-
Newspapers/magazines.
-
Products subject to financial market fluctuations.
-

Exclusion applies to services:
-
Accommodation, transport, catering, or leisure activities with fixed dates.
-
Services started with the consumer’s explicit consent before the withdrawal period ends.
-
Gambling and lottery services.
-
Article 9 – Price
-
Prices remain valid as stated in the offer, except for VAT changes.
-
Variable prices (e.g., tied to financial markets) must be clearly indicated.
-
Price increases within 3 months of the agreement are permitted only due to legal changes. After 3 months, increases are allowed if stipulated, and the consumer may terminate the agreement.

Delivery occurs outside the EU; import VAT/customs are the customer’s responsibility.
-
Prices are subject to typographical errors. The trader is not obligated to honor incorrect prices.
Article 10 – Conformity and Warranty

The trader guarantees that products/services conform to the agreement, specifications, reliability, and legal requirements.

Manufacturer warranties do not affect the consumer’s legal rights.
-
Defects or incorrect deliveries must be reported in writing within 14 days. Products must be returned in original packaging.

The warranty does not cover consumer modifications, misuse, or government-mandated material changes.
Article 11 – Delivery and Execution

The trader processes orders with due care.
-
Delivery occurs to the address provided by the consumer.
-
Orders are fulfilled within 30 days unless a longer period is agreed. Delays or partial fulfillment entitle the consumer to cancel and claim compensation.

If a product is unavailable, a replacement may be offered. Return costs for replacements are borne by the trader.

Risk of damage/loss transfers to the consumer upon delivery.
Article 12 – Duration Agreements: Term, Termination, and Renewal

Indefinite agreements for regular deliveries (e.g., utilities) may be terminated at any time with a notice period of up to one month.

Fixed-term agreements may be terminated at the end of the term with a notice period of up to one month.
-
Automatic renewals are prohibited unless for daily/weekly newspapers (up to 3 months).
-
Trial subscriptions end automatically without renewal.
-
Agreements over one year may be terminated after one year with one month’s notice unless reasonableness opposes.
Article 13 – Payment

Payments are due within 7 working days after the withdrawal period begins (for services, after confirmation).

The consumer must report payment errors immediately.
-
The trader may charge reasonable pre-communicated costs for late payment.
Article 14 – Complaints Procedure

Complaints must be submitted in writing within 7 days of discovering defects.
-
Complaints are acknowledged within 14 days. Complex complaints receive a timeline for resolution.

Unresolved complaints enter dispute resolution.
-
Complaints do not suspend the trader’s obligations unless stated otherwise.

Valid complaints result in free repair or replacement.
Article 15 – Disputes

Even if consumers reside abroad, these agreements are fully governed by Hong Kong law.
Article 16 – CESOP
-
Under EU VAT Directive amendments (2024) and the Central Electronic System of Payment Information (CESOP), payment service providers may register transaction data in CESOP.
